Terms of Service

The terms that apply to orders placed on gearonia.com. Business and consumer orders are handled separately.

Last updated: 29 September 2026

1. Who we are

These terms govern orders placed on gearonia.com. The seller is Chengdu Oulupanda E-commerce Co., Ltd. (“we”, “us”, “Gearonia”), a company registered in China, with its registered address at Room 1810, Unit 1, Building 2, No. 1868, Section 3, Guanghua Avenue, Wenjiang District, Chengdu, Sichuan, China. You can contact us at sales@gearonia.com.

2. Two types of customer

2.1 Business customers. If you buy for resale or use in a trade or business, you are a business customer. Business orders are governed by clauses 4 to 11 and by the written quotation.

2.2 Consumers. If you buy as an individual for personal use, you are a consumer. Consumer orders additionally benefit from clause 12 and from any mandatory consumer protection rules that apply in your country of residence.

3. Orders and acceptance

3.1 A quotation is not an offer. An order is accepted only when we send an order confirmation, or when we dispatch the goods, whichever happens first.

3.2 We may decline an order where the part is out of stock, where the destination market requires approvals we do not hold for that product, or where the order fails our payment or trade-compliance checks.

3.3 Where a listing shows an OE reference, that reference is provided to help you match the part. It is not a statement that the part is original equipment, or that it is approved for a particular regulated use.

4. Prices, currency and payment

4.1 Prices are quoted in [[USD / GBP / EUR]] and exclude duties, taxes and destination charges unless the quotation states otherwise.

4.2 Business orders: [[50]]% deposit on order, balance before dispatch, or payment in full where the quotation says so. Accepted methods: PayPal, bank transfer (T/T) to the account stated on the quotation.

4.3 Consumer orders: payment in full at checkout through the payment methods shown at checkout.

4.4 If a payment is reversed or blocked, we may suspend the order and any related shipments.

5. Delivery, risk and title

5.1 Delivery terms follow the Incoterms stated in the quotation. Where no Incoterm is stated, business orders are supplied [[FOB Chinese port]] and consumer orders are delivered to the address you give us.

5.2 Estimated lead times are given in good faith and start from the later of order confirmation and receipt of cleared payment. Delays in production, customs or carrier networks beyond our control are not a breach of these terms.

5.3 Risk passes as stated in the applicable Incoterm. Title passes only when we have received payment in full.

6. Import duties, taxes and clearances

6.1 Business customers are the importer of record and are responsible for customs clearance, duties, taxes and any destination compliance requirements for the market they ship to.

6.2 Consumer customers: import duties and taxes may be payable on delivery, unless we state at checkout that they are included. [[UK B2C orders under £135 require UK VAT registration and VAT charged at the point of sale — no UK B2C orders before registration.]]

7. Product information and conformity documents

7.1 Fitment data, references and specifications are supplied to help you match a part. You remain responsible for confirming the part suits the vehicle and the intended use.

7.2 We supply the conformity or material documents we hold for a product category on request. We do not claim type approval, emission approval or certification that we do not hold. Ask us before ordering if a specific approval is required for your market.

8. Returns and cancellation (business customers)

8.1 Business orders are not cancellable once production or packing has begun.

8.2 Returns are accepted only with our prior written agreement, only for goods that are unused, in original packaging and complete, and only within [[14]] days of delivery. Return freight and any restocking charge of [[15]]% of the invoice value apply.

8.3 Custom, private-label and made-to-order goods are not returnable.

9. Defective goods and warranty

9.1 Goods are warranted against manufacturing defects for [[12]] months from delivery for consumer orders and [[6]] months for business orders, unless the quotation states otherwise. Wear items, consumables and goods fitted incorrectly are excluded.

9.2 Warranty claims require the original invoice, photographs of the part and its packaging, and return of the part where we ask for it. Our liability is limited to replacement of the part or refund of the price paid for it.

9.3 Where a defect is not established, returned goods may be sent back to you at your cost.

10. Limitation of liability

10.1 To the extent permitted by law, we are not liable for loss of profit, loss of business, loss of goodwill, or indirect or consequential loss.

10.2 Our total liability for any order is limited to the price paid for the goods in that order.

10.3 Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or fraud.

11. Intellectual property

Trademarks and part numbers shown on this site remain the property of their owners. Where we show a third-party mark or part number, we do so only to identify the vehicle or part a component is intended to fit.

12. Consumer provisions [keep only if selling B2C]

12.1 If you are a consumer in the UK or the EU, you may cancel a distance order within 14 days of receiving the goods, without giving a reason. Tell us in writing at sales@gearonia.com, then return the goods within 14 days of cancelling. Goods must be unused and in their original packaging.

12.2 You pay the cost of returning the goods unless the goods are faulty or not as described.

12.3 Nothing in these terms affects your statutory rights.

13. Governing law and disputes

13.1 These terms are governed by the laws of [[the People’s Republic of China]]. Disputes are subject to the exclusive jurisdiction of the courts of [[Chengdu, China]].

13.2 Where you are a consumer resident in the UK or the EU, this clause does not deprive you of the protection of the mandatory rules of your country of residence, and you may also use an accredited alternative dispute resolution body where available. [[confirm wording with counsel]]

14. Changes

We may update these terms. The version in force for your order is the one published when the order was placed.
